Terms of Use

1. About these terms

By accessing this website (the “Site”) or engaging with The BLCK BK (the “Community”), operated by The BLCK BK FZE LLC (“we”, “us”, “our”), you agree to these terms in full. If you do not agree, please do not use the Site or the Community.

2. The Community and membership

The BLCK BK is a private, invitation-only community. Membership, access, and participation are granted, declined, suspended, or withdrawn entirely at our sole discretion, at any time, without notice, reason, refund, or liability. Being invited or considered does not guarantee membership.

3. No advice

Nothing on the Site or shared through the Community is financial, investment, legal, tax, accounting, or other professional advice, nor an offer, solicitation, recommendation, or invitation to buy, sell, or subscribe for any security, fund, product, or investment. You should obtain independent professional advice before acting on anything you read or receive.

4. Introductions and networking

The Community facilitates introductions, gatherings, and events. We are not a party to, and accept no responsibility for, any dealings, communications, transactions, or arrangements between members or with third parties. Any such dealings are entered into at your own risk, and you are responsible for your own due diligence and decisions.

5. Intellectual property

All content, branding, names, logos, and materials on the Site and within the Community are owned by or licensed to The BLCK BK FZE LLC, and may not be copied, reproduced, distributed, or used without our prior written consent.

6. No warranties

The Site and all content and services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including as to accuracy, completeness, availability, or fitness for a particular purpose. Any features described as forthcoming may change, be delayed, or not proceed.

7. Limitation of liability

To the fullest extent permitted by law, we and our officers, employees, members, partners, and agents shall not be liable for any loss or damage of any kind, whether direct, indirect, incidental, special, consequential, or otherwise, arising out of or in connection with the Site, the Community, any event, any introduction, or any reliance on any content. Your sole and exclusive remedy is to stop using the Site and the Community.

8. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, liability, cost, or expense arising from your use of the Site or the Community, your conduct, or your breach of these terms.

9. Third-party links and providers

The Site may reference or link to third-party sites, services, venues, or providers. We do not control and are not responsible for them, their content, or their acts or omissions.

Code of Conduct

Membership is a privilege extended at our discretion, and it carries an expectation of conduct. By taking part, you agree to the following.

• Treat every member, guest, host, partner, and member of the team with respect, courtesy, and discretion.
• Do not harass, intimidate, discriminate against, or threaten anyone. We have zero tolerance for harassment or abuse of any kind.
• Do not use the Community, its events, or its members for aggressive selling, spam, recruitment, or unsolicited solicitation.
• Do not misrepresent yourself, your credentials, or your intentions.
• Respect confidentiality. What is shared in the room stays in the room unless you have permission to share it.
• Act lawfully and in good faith at all times.

We may issue a warning, remove you from an event, or suspend or permanently revoke your membership for any breach, or for any conduct we consider inconsistent with the spirit of the Community, at our sole discretion and without refund or liability.

Events

Attendance at any event is voluntary and at your own risk.

• You are responsible for your own health, safety, belongings, and conduct at all times.
• To the fullest extent permitted by law, we accept no liability for any injury, illness, loss, damage, or theft suffered at or in connection with any event, whether hosted by us, by a member, or at a third-party venue.
• Where alcohol is available, you are responsible for your own consumption and behaviour, and you must be of legal age.
• Tickets or places, where offered, may be non-transferable and non-refundable unless stated otherwise. Events may be changed, rescheduled, or cancelled, and we accept no liability for any resulting cost or inconvenience.
• We may refuse entry to, or remove, any person at our sole discretion.

Photography & Multimedia Consent

Our events and gatherings are documented.

• By attending an event or participating in the Community, you consent to being photographed, filmed, and recorded, including the capture of your name, image, likeness, and voice.
• You grant The BLCK BK FZE LLC a perpetual, worldwide, royalty-free, irrevocable, and sub-licensable licence to use, reproduce, edit, and publish such photography, video, audio, and other media for marketing, promotional, editorial, and archival purposes, across any medium now known or later devised, without further approval, attribution, or compensation.
• If you would prefer not to be featured, please tell a member of the team in advance or at the event. We will make reasonable efforts to accommodate the request, but cannot guarantee exclusion from incidental or crowd footage.
• You will not photograph, film, or record other members without their consent, and you will not publish images of members, or of what is shared at events, without permission.

Payments, Errors & Security

Where payments are taken, for example for events or services, they may be processed by third-party payment providers. By making a payment, you accept the following.

• We are not a bank or payment institution. Payments are handled by third-party processors, and your use of them is subject to their terms.
• To the fullest extent permitted by law, we accept no liability for any payment error, failed, duplicated, or delayed transaction, incorrect charge, refund delay, currency conversion, or bank or processor fee.
• To the fullest extent permitted by law, we accept no liability for any loss arising from unauthorised transactions, fraud, phishing, interception, or the compromise of any card, account, or credential, whether or not our systems are involved.
• To the fullest extent permitted by law, we accept no liability for any loss, corruption, or unauthorised access to data, or for any hack, breach, malware, outage, or security incident affecting the Site, the Community, or any third-party service.
• You are responsible for keeping your own devices, accounts, and credentials secure. If you notice any error or suspicious activity, tell us promptly at theblckbk@outlook.com.
• Nothing in this section limits any liability that cannot be excluded or limited under applicable law.

Acceptable Use & Confidentiality

When using the Site and the Community, you agree that you will not:

• use them for any unlawful, harmful, fraudulent, or misleading purpose;
• collect, store, scrape, or misuse the personal information of other members;
• send spam, chain messages, or unsolicited commercial communications;
• introduce malware, or attempt to gain unauthorised access to any system or account;
• copy, reproduce, or exploit our content or member information without consent.

The Community operates on trust and discretion. Information shared by members, and the identity and details of other members, are confidential. You will not disclose or use them outside the Community without permission. We may suspend or remove access for any breach.

Lawful Conduct, Anti-Bribery & Anti-Money-Laundering

You agree to comply with all applicable laws in connection with the Community, and in particular:

• not to offer, give, request, or accept any bribe, kickback, or improper advantage;
• not to use the Community, or any introduction or opportunity arising through it, for money laundering, terrorist financing, sanctions evasion, or any other unlawful purpose.

We may decline, suspend, or report any person or activity where we have concerns, and we accept no liability for doing so.

Disclaimer

• The Site and everything shared through the Community are provided for general information only.
• Nothing on the Site or shared through the Community is financial, investment, legal, tax, or other professional advice, nor an offer, solicitation, or invitation in respect of any security, fund, or investment.
• The BLCK BK is not a bank, financial institution, or licensed financial adviser, and does not carry on any regulated financial activity. Any opportunity, venture, or introduction referred to may be unregulated, may carry high risk, and may result in loss of capital. You must conduct your own due diligence and seek independent professional advice.
• We make no representation or warranty as to the accuracy, completeness, or reliability of any content, and accept no liability for any reliance placed on it.
• Any references to future features, services, or plans are aspirational, may change, and create no obligation or commitment.

Privacy Policy

1. Who we are

The BLCK BK FZE LLC, Ajman Free Zone, United Arab Emirates, is responsible for personal data collected through the Site. You can reach us at theblckbk@outlook.com.

2. What we collect

We collect only the information you choose to provide, for example when you request membership or access by email. This may include your name, email address, LinkedIn profile, and firm. The Site does not require you to create an account, and we do not knowingly collect more than you send us.

3. How we use it

We use your information to consider and manage membership, to communicate with you, to organise events, and to operate and improve the Community. We rely on your consent and on our legitimate interest in running the Community.

4. Sharing

We do not sell your personal data. We may share it with trusted service providers who help us operate, such as email, payment, and event providers, and only to the extent necessary. We may disclose information where required by law.

5. International transfers

Because we correspond by email and use third-party providers, your information may be processed outside the United Arab Emirates. We take reasonable steps to ensure it is handled appropriately.

6. Retention

We keep your information only for as long as necessary for the purposes above, or as required by law.

7. Your rights

Subject to applicable law, including the UAE Personal Data Protection Law, you may request access to, correction of, or deletion of your personal data, and you may withdraw consent at any time by contacting us.

8. Security

We take reasonable measures to protect your information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Children

The Site and the Community are intended for adults and are not directed at anyone under 18.

• This Site uses only the minimal cookies necessary for it to function and to keep it secure.
• We do not use advertising cookies, and we do not sell any data collected through cookies.

General

• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
• Severability. If any provision is found unenforceable, the remaining provisions stay in full effect.
• Waiver. A failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign your rights. We may assign or transfer ours.
• No partnership. Nothing here creates any partnership, agency, employment, or joint venture between us.
• Entire agreement. These terms are the entire agreement between us regarding their subject matter.
• Changes. We may update these terms at any time. Continued use of the Site or the Community constitutes acceptance of the current version.

Governing Law & Jurisdiction

These terms, and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including non-contractual disputes or claims, are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

You and we irrevocably agree that the courts of the DIFC shall have exclusive jurisdiction to hear and settle any such dispute or claim, and you submit to that jurisdiction. This constitutes an opt-in to the jurisdiction of the DIFC Courts.
